Jennifer Villier advises founder-led and private equity-backed companies at critical stages of growth, from scaling operations to executing strategic transactions. With more than 20 years of experience spanning top law firms and over a decade in-house, she brings a seasoned, business-first perspective to complex legal and commercial challenges.
Jenny focuses her practice on serving as outside general counsel to emerging and growth-stage companies, particularly in the software and technology sectors. She has significant experience advising SaaS and technology-driven businesses on commercial contracting, data privacy, cybersecurity, and regulatory compliance, including issues involving AI and global data protection regimes. She works closely with founders, executives, and investors to align legal strategy with business objectives, delivering pragmatic, solutions-oriented guidance that supports growth while managing risk.
Prior to joining Gould & Ratner, Jenny served as General Counsel of a legal technology company, where she advised executive leadership and the board through a period of significant growth and the company’s eventual sale to an Australian-based strategic buyer. Most recently, she built and led the commercial legal function at a private equity-backed data analytics company, developing contracting processes, supporting high-volume SaaS transactions, and partnering cross-functionally across product, sales, and compliance teams.
Earlier in her career, Jenny practiced at AmLaw 100 firms, where she advised fund sponsors on private equity and venture capital fund formation and represented clients in complex corporate transactions.
